Law Ethics Essay BB General Partnership Dracca is able to seek recover from Silva Gray individually on the judgment for BB partnership because the partnership has not been incorporated. In a general partnership each individual can be sued for the full amount of the business debt. The partners cannot have personal interest within the partnership (Bagley Savage, 2009 p. 729). If one partner incurs all of the debt, they can then sue the other partners for their parts of the debt. Within a Limited Liability Partnership these three items would differ from the general partnership. 1. Limited partners do not play an active role in the business 2. Limited partners are not personally liable 3. Limited partners face slightly different tax rules (NOLO) BB is not a formalized company under the laws of corporation and taxation, so in turn each individual can be held liable for the debt legally. However, Dracca should not have gone after Ms. Grey solely on a tip of her wealth. Business Judgment Rule The Business Judgment Rule states that as long as the board members have acted in good faith and meet the basic standards, there should not be a fear of prosecution when making decisions (Bagley Savage, 2009 p. 801). To insure that the board of directors did not fault their duty of care and the Business Judgment Rule several items must be analyzed. 1. â€Å"Were the directors interested in the transaction?2. Did the directors act in good faith? 3. Did the directors act in a manner that cannot be attributed to a rational purpose? 4. Did the directors reach the decision by a negligent process?† (Bagley Savage, 2009 p.801). The board must also consider their duty of care and duty of loyalty. Duty of care requires people involved in the company to make informed and reasonable decisions for the business. Duty of loyalty requires employees to act in good faith and in good interest of the company (Bagley Savage, 2009 p. 799). In the case of Dracca vs. BB, the board did not act in good duty of care, duty of loyalty or use the Business Judgment Rule appropriately. The overall concept to obtain the debt from BB was an action of duty or care and loyalty to the company. However, the way the board of directors went about the retrieval of the debt was not the best method. By pursuing Ms. Gray off a ‘tip’ the fund backfired and the company incurred a lot of fees that might not of occurred if the pursue was planned correctly. The process of pursuing the money was neglected, fault number three in the Business Judgment rule. Employment Discrimination The accounting manager for Dracca overseeing the BB account, Martin Long had his pay and responsibilities decreased by Accounting Director Mary Smith. The Equal Employment Opportunity Commission (EEOC) was developed to help employees against discrimination of age, sex, race, gender, national origin, disability, and religion (Bagley Savage, 2009 p.466). In Martin Long’s case he left the company because Ms. Smith’s visual and vocal opinions. The opinions turned into harassment and eventually Long left the Firm. By vocalizing and placing visual signs Ms. Smith was creating a harsh work environment for employees. Long will be able to sue Dracca for employment discrimination and argue constructive discharge because there must be evidence of unpleasant working condition that it forces the employee to resign and the employer has not taken care of the complaint within 15 days of being informed of the issues. The harassment must be worse than Title VII (Runkel, n.d.). Dracca is responsible for Ms. Smith’s actions/discrimination against Long. Kate was fired after reporting to the EEOC the harassment from Ms. Smith. Kate should not of been fired for reporting the discrimination. Due to Dracca’s action upon firing Kate, the company seems to approve of Ms. Smith’s actions. The EEOC Compliance Manual states that the person filing the complaint is â€Å"protected against retaliation by a respondent for participating in the statutory complaint proceedings even if that complaint involved a different covered entity† (Igasaki, 1998). From the EEOC, Dracca would be held liable for Hernandez’s actions within the court system. Hernandez violated the EEOC Title VII discriminatory actions. The Title VII makes two theories clear to businesses. 1. The theory of disparate treatment and 2. The theory of disparate impact. Disparate treatment means that the plaintiff has to prove that the employer intentionally discriminated against him/her denying a benefit of employment (Bagley Savage, 2009 p.471). Disparate impact is when employers make employment decisions based on selection, making employers complete test and evaluations. BFOQ stands for Bona Fide Occupational that an employer must prove that the type of person is not able to perform the job position. In this case, women with children were hired in order to sell the product. Dracca would have to prove that men were not able to perform the job. The BFOQ cannot be used as a defense when there is a preferred gender within the company. The following also apply. Usually BFOQ is not based on color and gender will not qualify when the 1. â€Å"Assumptions of the comparative employment characteristics of women in general, 2. Stereotyped characteristics of the sexes, and 3. The preferences of coworkers, employers or customers for one gender or the other (Bagley Savage, 2009 p. 485). Conclusion After reviewing the case, I recommend the following 1. Dracca hire new board members with a focus on the business, and not a focus on money. The Board of Directors should be compiled of people that are business savvy and care about the firm and about the financials in a legal and ethical manner. By the Board leaning on a tip and not fact, the business incurred a lot of debt that could have been spent somewhere else within the firm. 2. Dracca should have a firmer hiring process where the prospects are asked to observe and manage for a day, or write out a list of goals, or how to hire people for certain positions. This could show some speculation to discrimination. Also, Dracca should be stricter on company policy regarding religion, politics, and harassment. If need be the company can have classes on what is and is not harassment within the workplace. In this case, it seems that Dracca turned a blind eye on Mr. Long. Reflection on Multi-Agency Working

Reflection on Multi-Agency Working Multi-agency working Introduction In this report it will be discussing a case conference that has previously taken place and reflect using the Gibbs cycle, (Eggers, 2002) on how the group work was and how the conference went. It will reflect on what happened, how could it of been better, what could be changed for future conferences. Next will be the challenges of multi-agency working that arise in a case conference and how you can overcome these. Then it will discuss the legislation on multi-agency working and how this can affect the people involved and what laws all people working with children must follow. Reflecting on working in a group Working in a group, I thought would make the assignment much easier and as a group I thought would help us all get different opinions into our work and by listening to each other’s views would give us a incite to what we could say in the conference and write about. This however was not the case I found this assignment one of the hardest as we had people in our group that did not live locally and also most of us have children, this being the case made it near impossible to get the group together outside of university. We did however try to overcome this as best as possible by meeting up with who we could when we could and by communication through email and text messaging with updates or with ideas for the scenario. If I had to work within a group again I would possibly change who I work with so that I am with people I know will be on the same working level as myself and that live more locally to make it easier to overcome not being able to meet up when needed. Reflecting on case conference In the case conference I feel that it went quite well, everything that was said linked to each other’s report where necessary. We had a main spokesperson at the meeting this was the social worker as she had all knowledge from all other members of the multi-agency team. Each person involved described a brief of what had been said and what they had already noted as part of the case. In the meeting we did not have Jasmine herself present as she was felt to be too young and venerable to be in the meeting with her mother present so we have an advocate on her behalf who was the Family support worker she described what she had assessed of Jasmine and her older brother had felt about the situation at home and how it was effecting them. Both the Safeguarding officer and the head teacher of the school explained what was disclosed to raise the awareness of a safeguarding and child protection issue. They also stated that there was a meeting with Jasmine and her mother previous to this cas e conference and even more issues were raised regarding not only Jasmines sexual experience but also that she is left at home a lot to look after a very young baby. As the safeguarding policy states that we must protect children from maltreatment, prevent bad health or development, making sure that children are growing up in safe and effective care and to take action to enable all children to have the best possible outcome. (Evans, 2012) The health visitor for Jasmines mother was also at the case conference to explain that when she goes to the house it is dirty with not much food in. It may not have been relevant for the health visitor to be in the conference as she had already reported her concerns before the school was aware of this current concerns and the social worker had already been notified about this previously. The mother of Jasmine had previously had a meeting with the social worker before the case conference and had agreed to attend the conference as well parenting classes and follow up meetings. The Social worker gave everyone the pre-arranged care plan and the mother had agreed to all of the care plan and another meeting was arranged to follow up these actions. A care plan is to make sure the children do not suffer from any more neglect and so they can assess that they are in suitable and stable family home environment. A plan of care is something that describes a straight forward way that the services and support being provided. It will be put together in agreement with the person who needs the support and services by planning and reviewing their needs. (Dubowitz and DePanfilis, 2000) Overall I think the case conference went well there could have been better communication leading up to the conference and we could of suggested further opportunities to help aid Jasmine and her family into the care plan. If I had to attend another case conference, I would look into services to support the children more and help the mother so that she can get financial help to better her living conditions and also help the food needs of the family such as food banks. Challenges of multi-agency working The challenges that arise within the multi-agency team, that were in the case conference were lack of communication. It was hard to contact everyone when needed this slowed down the process of gathering all information needed before the case conference. This is a problem that happens within all multi-agency, the issue of lack of communication happens across all various agencies and voluntary organisations, although it seems to be worse in the education sector. Atkinson (2002) This can be overcome by making phone appointments with the agency’s involved or booking appointments to have meetings every few weeks but as they may have many case this may not be possible this is why I think phone appointments would be quite sufficient. The other challenge we had within working as a multi-agency team was the responsibilities of the people involved and them understanding the roles of themselves as well as others. Some agencies didn’t seem to know who is responsible for what tasks and some moved beyond their existing roles in the case conference. This again comes down to the lack of communication within the group. Legislation In multi-agency working all members of all the different agencies, will have had a Disclosure and Barring Service check done also known as DBS, which used to be called Criminal Record Bureau (CRB) this is a checking system so that the suitability of professionals and volunteers who work with students are safe to work with students and also make sure all staff have the qualifications needed. (Gov.UK, 2014) Raising awareness of the student’s protection and making sure all students have the ability required to make them safe. Developing and implementing procedures for noticing and reporting cases, or possible cases, of abuse. Supporting students that are in or have been abused in accordance with his/her in agreement pre-arranged protection arrangement. Finally establishing a secure surroundings where all students will learn and develop in. Settings recognise that as the professionals who are in regular and frequent contact with the children and are well trained to look out for signs of abuse. The Setting in which they work are responsible that make sure all members of staff no and are trained in safeguarding to protection all students from abuse and from inappropriate and inadequate care. Therefore, the setting is committed to reacting in accordance should any problem arise. The Children Act 2004 presents the legal basis for the way social services and other groups maintain issues on the subject of children. These laws had been laid down so that all individuals who are worried about the wellbeing of children, within their home, schools or any childcare setting, are aware of how children and young people must be taken care of within the eyes of the legislation. The Children Act 2004 was planned to make children to be healthy and so that they are safe in their environments at all times. It also helps children to succeed and be the best they can be. They also help achieve economic permanency for our children’s futures. (Legislation.gov.uk, 2015) Management styles Social Worker Successful management of social workers involves an ability set that is somewhat vast and difficult. The manager needs to be highly qualified in many arenas and ought to be ready to make important life changing decisions. Evidence to work effectively as a multi-agency team Effective multi-agency working depends on four key areas: clarifying roles and responsibilities, engendering trust, mutual respect and understanding between agencies. An advantage of working effectively in a multi-agency team improved services, direct outcomes and prevention of child cases. It also improves access to services which helps families early on and can potentially stop any fatalities or neglect to children. The benefits of effective multi-agency work gives them a broader point of view, a greater figuring out of the issues. Multi-agency teams state that working with experts from other backgrounds is profitable and motivating. (Moran et al., 2007) How to improve multi-agency working To improve multi-agency working is combined working as well as getting best outcomes. This can be achieved by better information sharing between the agencies and raising awareness and understanding of other agencies. In addition, the promotion of a shared responsibility between the agencies. They need to supply more services to improving outcomes for children and families and improving educational achievement. Because we do not have a clear definition of what perfection truly is, when a person attempts to become "perfect", they are usually transforming into what seems to be perfect to . In both "A Doll's House" and "The Metamorphosis", we see that human beings cannot achieve a state of total perfection. When Gregor Samsa, from "the Metamorphosis", attempts to be the perfect provider that his family expects him to be, he inadvertently turns his life into an insectoid existence. Likewise, when Nora from "A Doll's House" tries to live up to her husband's expectations of a perfect wife, she builds up enough self-hate to leave everything that she loves and start an entirely new life. Striving to be this ideal person, like attempting to acquire any other impossible goal, is damaging to the characters in both cases. The fortunes of these characters illustrate the harm in attempting to achieve these impossible objectives. As human beings, we have no conception of any absolute values, such as perfection and imperfection or hot and cold. We can only perceive changes or comparisons based on what we already know. Through experience, we can tell what is hotter or colder, but never actually tell what the absolutes are. This is a central aspect of what makes perfection impossible to achieve. What exactly is perfection? Seeing as we have no inherent knowledge of what is perfect or imperfect, these ideals are usually set by the expectations of others who are in positions of control over us. Therein lies one of the fundamental dangers in attempting to achieve perfection. When the aims and goals of our lives are governed by an outside force, we are transferring a great amount of power over ourselves to someone else who may not have the best intentions. Those who have power over us, in most circumstances, will use it to their own benefit. This is Gregor Samsa's main problem. He transfers control of his life over to his family, who hardly had the best intentions for Gregor's well-being. They merely wanted a way to get money and food to support themselves. With Gregor working, his father has an excuse to continue doing nothing, and allows the family to remain stagnant at the level that they are at. Directly and indirectly, his family enforces the view that a son should work to support his family and not himself. In the 20th century, numerous ideas of the future have entertained society. Movies such as Star Wars and Back to the Future have greatly influenced how society views the future. No one could have predicted that George Orwell’s 1984 novel came in first place when discussing about the present day. The primary goal of 1984 is to paint how life will be like under the control of a totalitarian government. This novel is way ahead of its time and gave frighteningly realistic insights into the future. Currently, the people of America are living in this reality, which Orwell prophesied. Advancement in technology today is world changing; however, it can become a dangerous weapon when left in the wrong hands. It is used as a form of distraction and control. There is a vision that, one day, there will be a monitor in every household that regularly observes people’s interest and loyalty. Even though there are no helicopters flying by and peeking through the neighbor’s windows, the government manages to spy on the average Joe in a realistic manner. Many people do not believe that the American government can implement such action, but it has been achieved and is far worst than what Orwell could have imagined. The nature of the National Security Agency revelations with the help of Edward Snowden, who leaked top secret government information, are within the scope of the Orwellian vision of the all-seeing Big Brother. Readers of the novel are able to visualize the dark and unearthly world through the eyes of Winston Smith, the protagonist. The world that he inhabits is cruel and ran by a government that controls the entire population. Big Brother is an entity in the novel who is seen as the all knowing and powerful. He is said to exists; however... ...om the government. There are no more anonymous masses. Jump forward to today, and it seems that the American people are openly giving away all sorts of freedoms and their right to privacy. There needs to be a balance. People need to take action. Also, Orwell's points out that the government is appointed too much power over apparently small things such as the Patriot Act; however, it is just a blueprint that will help widen the window of opportunity for the government to attain more power. Society is headed for a downfall where the government increasingly takes away civil liberties, whistle blowers and journalists are prosecuted, and truth is becomes a crime. It is difficult to see how anyone could make the claim that society is not headed closer to that direction. 1984 made a bold prediction. There are evidently parallels between society today and Orwell's book.

Managers involved in helping their organizations improve quality are frequently puzzled over which approach to use. Some organizations adopt an eclectic approach using components of the three philosophies and combining what they consider to be the best from the best. Other organizations select the Crosby, Deming, or Juran approach and remain loyal to it; all their education, training, and implementation efforts reflect support for that one approach. There are organizations that switch in midstream (e.g., begin with Crosby, move to Juran, and then move to Deming). These organizations expect dramatic improvements in a short period of time and their obsession with immediate results forces them to try different approaches on a trial-and-error basis, without thought to a long-term strategy. The key to successful implementation of quality principles and methods is tied to leadership. In fact, lack of management and leadership commitment is considered by Crosby to be the number one cause of quality improvement failure. According to Juran, every successful quality revolution has included the active participation of upper management. There are no exceptions. Deming agrees. He says the transformation is top management’s job and it cannot be delegated. Quality is not a quick fix to address management problems. It is not a program, but a transformation. As part of this effort, top managers must recognize the need for assessment, strategic planning, and the development of a long-term, integrated organization-wide approach. Leadership is needed to establish policies defining the positions the organization will take in regard to quality Leadership is also needed to cultivate a customer orientation and provide all employees with ongoing education and training. These arguments notwithstanding, success or failure will rest upon the correct assessment of how to achieve customer-defined quality criteria and the kind of leadership required to get the organization mobilized in the most cost-acceptable way. â€Å"The approaches of Crosby, Deming, and Juran do not represent â€Å"programs† in the usual sense of the word, but they do not have starting and ending dates.† â€Å"The key successful implementation of quality principles and methods is tied to leadership. â€Å"

Hunger Games essay Essay

The Hunger Games is a fictional book, which establishes the relationship between the protagonist Katniss, and the protagonist Peeta. Katniss is a 16 year old girl who lives in District twelve, Panem. She is the sole provider for her family and competes in the Hunger Games, a game where two people from each of the twelve districts are chosen to fight to the death. Peeta is a 16 year old boy who is also from District Twelve who competes in the Hunger Games with Katniss. Throughout the book there is great debate on whether Katniss and Peeta are in love, or not in love. Katniss pretends to be in love with Peeta because it helps her in the Games, and it is an act of survival. Peeta on the other hand is deeply in love with Katniss. Throughout the book Katniss often finds herself making multiple references back to her friend, Gale, who has been her best friend for years. She wonders what life would be like with Gale. Katniss pretends to be in love with Peeta. She sees it as her only way of survival in the Games. When she and Peeta are in an affectionate state, the Capitol audience is entertained. This results in her and Peeta getting both food and messages from their mentor Haymitch and their sponsors. Luckily, they entertain the audience enough to survive the games but towards the end of the book Peeta says to Katniss, â€Å"It was all for the games, how you acted. † (Pg. 372) This is legitimate proof that Katniss only pretended to be in love with Peeta. Based on much evidence from the book, it is revealed that Peeta is deeply in love with Katniss. Prior to the beginning of the Games, both Katniss and Peeta had to take part in a pre-game interview. In Peeta’s interview, he tells the audience how winning the games would not help his situation because he is deeply in love with Katniss. Katniss was not happy with Peeta’s statement, but later in the book calmly asks him, â€Å"Peeta, you said at the interview you’d had a crush on me forever. When did forever start? † (Pg. 300) Peeta responded, â€Å"Oh let’s see. I guess the first day of school. We were five. You had on a red plaid dress and your hair†¦ it was in two braids instead of one. My father pointed your out. † (Pg. 300) This is the most heart-felt moment between the two; however Katniss only asked Peeta the question because she knew she had to keep entertaining the audience. Her strategy to manipulate Peeta’s emotions was a great advantage to her game. Katniss often makes references back to her friend Gale, her long time best friend that is back home in District Twelve. She has mixed feelings about him because when Katniss was about to leave for the games, Gale was saying good bye to Katniss and was cut short with the slamming of a door. There are many misinterpretations about what Gale was trying to say to Katniss. Most people, including Katniss, think that he was about to say â€Å"I love you. † This unfinished sentence disturbs Katniss during the games when she has mixed feelings about Peeta. Katniss thinks to herself, â€Å"Gale’s not my boyfriend, but would he be, if I opened that door? † (Pg. 280) Any person who is truly in love would not be thinking about other men in this way. Throughout the Hunger Games there is great talk on whether Katniss and Peeta are in love, or not. Katniss pretends to be in love with Peeta because it helps her in the Games, and she uses it as an act of survival. Peeta on the other hand, is deeply in love with Katniss. During the book Katniss often finds herself making multiple mentions back to her friend, Gale, who has been her best friend and hunting buddy for years. She wonders what life would be like if she was with him. Too conclude, Katniss and Peeta are not meant to be. They have completely different individualities and although it may seem that their pretend love is mutual, it is not.
